Organizer Agreement

This agreement is between you — the organizer, or the company you accept it for — and Neo Holdings Pvt. Ltd., which runs Kata Jaam? ("we", "us"). You accept it in the organizer portal before you add your first paid ticket type. We record the version and the time you accepted.
It covers tickets sold and paid for through Kata Jaam?'s checkout. Free registrations, and forms where people pay you by your own QR, stay under our Terms of Use; this agreement does not change them.
1. We sell your tickets as your agent
You appoint us as your sales agent to sell tickets for your events on Kata Jaam? and to collect the payment through Fonepay, where Neo Holdings Pvt. Ltd. is the merchant.
We sell in your name. You are the provider of the event. We do not buy your tickets or resell them.
The ticket money is yours. We hold it for you until the payout and it leaves only as your payout or a buyer's refund. There is no balance, no wallet and no early withdrawal. Our only income from a sale is our commission.
2. What buyers pay
Buyers pay the price you set and nothing else. We add no booking fee and no charge at checkout.
Set your price including any tax you must charge on the ticket. The price you set is the price the buyer sees, pays and gets on the receipt.
3. What you receive
For each ticket you receive the price, minus two things:
- Fonepay's charge (the MDR) — what the bank charges us to take the payment, at the rate it charges us.
- Our commission — currently 0 %.
Each is rounded up to the next rupee. The portal shows you what you receive before you save a ticket type, for example "Buyers pay NPR 1,000. You receive NPR 980." The same numbers are on your Responses page and on your payout statement.
We may change the commission with 30 days' notice in the portal and by email. A change never applies to tickets already sold.
4. Payouts
- We pay you 3 working days (Sunday to Friday) after the last day of your event.
- We pay only into a bank account in your name, or your company's name, that we have checked.
- We do not pay out while a refund on that event is still open. Once it is settled, the payout goes.
- Each payout comes with a statement: tickets sold, refunds, Fonepay's charge, our commission, and what you received.
Refunds paid before the payout come off it. If we refund a buyer after we have paid you, you repay us within 7 days of our request, or we take it from your next payout.
5. Refunds
You choose one refund rule per event. Buyers see it in plain words before they pay:
- No refunds — No refunds, except if the event is cancelled or its date or venue changes.
- Case by case — Ask for a refund and the organizer decides. A no comes with a reason.
- Up to 1 day before — Full refund if you ask at least 1 day (24 hours) before the event starts.
- Up to 7 days before — Full refund if you ask at least 7 days before the event starts.
Once the first ticket is sold you can only change the rule to a more generous one.
On top of your rule, these always apply to tickets sold through us:
- If the event is cancelled, every buyer gets a full refund, paid within 7 days of them giving an account.
- If the date or the venue changes, tickets stay valid and any buyer can ask for a full refund within 14 days of being told.
You may always refund more than your rule. When you decline a request you give a reason; the buyer sees it.
Refunds are paid from your ticket money. That includes refunds we give a buyer on your behalf under these minimums, the Refund and Cancellation Policy or the law.
6. Cancelling or changing your event
Use Cancel event or Move date or venue in the portal, as soon as you know. The portal tells your buyers and starts their refunds.
If an event clearly will not happen as listed and you have not told us, we may cancel it and refund buyers ourselves. We tell you first if we can reach you.
7. What you are responsible for
You are the provider of the event. You are responsible for:
- running the event as it is listed, and keeping the listing true — date, time, venue, line-up, age limits, what the ticket includes;
- every permit and licence the event needs — venue, ward, police, municipality;
- taxes on the event: entertainment tax, VAT on your tickets where you are registered, and your own income tax;
- the rights to what you perform, play or show (music, film, artwork, names and logos);
- the safety of the people who come, and any insurance you need;
- letting in every person with a valid pass, and your venue's rules being stated before people buy.
8. Who pays when something goes wrong
You indemnify us — meaning you cover us — for any claim, fine, refund, compensation or cost that comes from your event, from anything in section 7, or from you breaking this agreement.
Toward a buyer, we do not hide behind you. If a buyer is owed a refund or compensation under our Terms of Sale or the law, we pay them, and then recover it from you: from your payout, or by invoice payable within 7 days.
Our own responsibility to you is limited to the money from your ticket sales that we hold, plus anything the law does not allow us to limit.
9. Your buyers' data
We give you each buyer's name, phone, email and form answers so you can run the event. Buyers consent to that at checkout.
- Use it only to run that event: check-in, changes, answering questions.
- Do not use it for marketing unless the buyer agreed to that with you separately.
- Keep it safe, do not sell or pass it on, and delete it once you no longer need it for the event or your own legal records.
- If it leaks or is misused, tell us at once.
10. Promotion
Boost and Featured placements are paid promotion. Wherever they appear, they carry a "Promoted" label, as the law requires. Buying one never changes your refund minimums or our duties to buyers.
11. Records
We keep a record of every sale, refund, payout and complaint for five years, as the law requires. You can ask us for the records of your own events at any time.
12. Pausing sales
We may pause sales for an event, or hold its payout, when it looks misleading or fraudulent, when a complaint about it is open, or when you have not answered buyers about a cancellation or change. We tell you why, and lift it as soon as the reason is gone.
13. Changes and ending
We may update this agreement with 30 days' notice. You accept the new version in the portal before your next paid ticket type.
Either of us can end it by email. Tickets already sold stay valid: those events run, refunds and payouts happen under this agreement, and then it ends.
14. Law and disputes
This agreement is governed by the laws of Nepal. We will try to settle any dispute by talking first. If that fails, the courts in Kathmandu decide it.
